## 1. Definitions
- **"Customer"** - the person or organisation placing an order with Readynez.
- **"Course"** - any training course, workshop, or exam preparation delivered by Readynez, in any format.
- **"Open Public Course"** - a publicly scheduled Course that any Customer may register attendees on.
- **"Custom Course / Special Delivery"** - a Course delivered privately to a single organisation, rather than publicly scheduled.
- **"Course Materials"** - any content, courseware, or materials provided as part of a Course.
- **"License"** - a seat within a Subscription-based Service (Section 5), assigned to one individual (the License Holder) at a time.
- **"License Holder"** - the individual currently assigned a License.
- **"Agreement"** - these Training Terms together with the order confirmation for the relevant Course or License.
## 2. Placing an Order and Payment
2.1 The Customer is invoiced in full at the time of completing an order. Payment is due 14 days from the invoice date, or on receipt if the invoice is issued less than 30 days before the Course start date.
2.2 Late payment may incur interest, notice fees, and collection costs — interest accrues at 1/6 of the applicable statutory rate per started month, with a minimum of 1.75% per started month from the due date.
2.3 All prices are exclusive of VAT.
## 3. Changes and Cancellations
The notice period and consequences of cancelling or rescheduling depend on how the Course was booked:

3.1 Cancelling an Open Public Course within the notice window may still incur charges for administration, materials already provided, or course-specific development already carried out.
3.2 Courses marked "Guaranteed to run" always proceed provided more than one Customer is attending.
3.3 Readynez may itself reschedule or cancel a Course delivery it believes is impractical to run, giving as much notice as reasonably possible. In that case, Readynez isn't liable for the change but will reimburse fees already paid for that Course if the Customer doesn't want to attend a future delivery - less the cost of anything already delivered or in progress. This reimbursement doesn't apply where the Customer was enrolled using a License under Section 5.
All cancellations and reschedules must be notified in writing to [cx@readynez.com](mailto:cx@readynez.com).
3.4 If a Customer's attendee doesn't achieve the relevant certification after completing a Course, they may retake the same Course, delivered by Readynez, as many times as needed within 12 months of the original attendance — subject to availability and payment of accommodation, exam fees, lab access, and other reasonable incidental costs. Bringing existing Course Materials is fine; updated courseware, if wanted, is charged separately.
## 4. Course Materials and Intellectual Property
4.1 Readynez owns all intellectual property rights in Course Materials. The Customer may use them for the Course and for the attendee's own personal reference, but may not copy or redistribute them without Readynez's express permission.
## 5. Training Licenses (Subscription-based Services)
This section applies to recurring-fee training subscriptions like Unlimited Training. It covers the training subscription itself, not access to the [Platform](legal://platform_terms).
### 5.1 What's included
5.1.1 Each License lets one License Holder participate in all Courses covered by the Agreement.
5.1.2 Exam vouchers are not included by default. Where a Course requires one, its cost is invoiced separately at the price published by Readynez at the time of booking. Additional direct costs for attending an Open Public Course at a Readynez Training Centre are also invoiced separately.
### 5.2 Activation and term
5.2.1 A License activates, and its term begins, on the date of purchase.
5.2.2 The initial License term is 12 months, and the Agreement is irrevocable for that period.
5.2.3 Where License fees are paid annually, the first term is extended by one month at no additional cost — a 13-month first term. This extension doesn't apply where fees are paid monthly, in which case the first term remains 12 months.
5.2.4 Licenses renew automatically for further 12-month periods 30 days before each renewal date, unless terminated before then. The first-term extension in 5.2.3 applies only once and is not repeated on renewal.
5.2.5 Readynez may increase License fees at renewal, with at least 30 days' written notice, but not during the then-current term.
5.2.6 Courses must be completed before the License's end date.
5.2.7 Available courses under the Agreement may be added or removed during its term.
### 5.3 Changing the License Holder
5.3.1 A License may be transferred to another License Holder after 6 months (3 months for Business Plans; any time for Enterprise Plans).
5.3.2 A License can only have one License Holder with future bookings at a time.
5.3.3 A transferred License renews for a new 12-month period from the transfer date — except where all Licenses on the same Enterprise or Business Plan share a fixed renewal date, in which case the shared date applies instead.
### 5.4 Attendance
5.4.1 License Holders must attend every Course they're enrolled in. A no-show, or a cancellation within 30 days of the Course start date, incurs a €250 fee.
### 5.5 Plan-specific terms
5.5.1 **Enterprise Plans:** the Customer may request an additional delivery date for a specific Course with a minimum of 8 delegates attending (publicly scheduled, maximum 10 License Holders from the Customer). Fewer than 8 attending delegates incurs a per-person, per-day shortfall charge at the rate published at the time of scheduling. Earliest start date is 2 months after scheduling.
5.5.2 **Exam bundles:** maximum one exam voucher per Course, and only for completed Courses.
### 5.6 Money-Back Guarantee
5.6.1 At the end of the first License term (12 or 13 months, per 5.2), if the Customer has paid more in License fees than the completed Courses would have cost at list price — assuming at least one completed Course per License — Readynez refunds the difference.
## 6. Warranties and Liability
6.1 Readynez will deliver Courses using reasonable care and skill, and, so far as reasonably possible, in line with published course literature.
6.2 Readynez isn't liable, or in breach, for delay or failure caused by anything beyond its reasonable control.
## 7. Recording and Media
7.1 Filming, photography, or recording may take place during a Course for security and promotional purposes. Attending constitutes consent, and Readynez may use any resulting material in current and future media worldwide, without liability or payment to the attendee.
## 8. General
8.1 These Training Terms, together with the relevant order confirmation, form the entire agreement for training services and supersede any prior understanding on the same subject. They may only be varied in writing.
8.2 Danish law applies, and the parties submit to the exclusive jurisdiction of the Danish courts.
8.3 Unless stated otherwise, Courses are conducted in English and Open Public Courses are delivered virtually or at a Readynez Training Centre.
